Notice Concerning Transfer of Adhesives Businesses of Resonac Corporation (Japan) and Its Consolidated Subsidiaries (Taiwan and China)

- -

October 21, 2026

Resonac Corporation (President and CEO: Hidehito Takahashi; hereinafter, “Resonac”) hereby announces that it has entered into definitive agreements with the Sika Group (parent company: Sika AG; headquarters: Baar, Canton of Zug, Switzerland) to transfer the agreed-upon portions (hereinafter, the “Target Businesses”) of the adhesives businesses operated by Resonac and its consolidated subsidiaries in Japan, China and Taiwan (hereinafter, the “Transaction”).

The businesses included in the Transaction comprise the adhesives business (excluding the tape business) and the hot-melt business operated at Resonac’s Goi Plant (Noda) in Japan; all operations at the Dapumei Plant of Resonac Li-Bond Materials (Taiwan) (“RLBT”), as well as the businesses relating to polyurethane adhesive and epoxy adhesive products at RLBT’s Minxiong Plant in Taiwan; and all operations of Resonac Li-Bond Materials (Wuxi) (“RLBWX”) in China. The tape business and low-melting glass (“LMG”) business in Japan, and certain hot-melt adhesive and solvent-based adhesive product businesses in Taiwan, are excluded from the Transaction.

The Target Businesses have established operating platforms centered on Resonac’s Goi Plant (Noda) in Japan, RLBT in Taiwan and RLBWX in China. Leveraging formulation and reaction-control technologies developed over many years, they provide high-value-added products to a broad range of markets, including the automotive sector. In particular, their adhesives for automotive interiors and automotive back doors are highly regarded by customers in Japan and overseas.

Meanwhile, in accordance with its “Long-term Vision for the Newly Integrated Company (2021–2030),” the Resonac Group aims to contribute to a sustainable society as a world-leading functional chemical company and has been continuously transforming its business portfolio to achieve this goal. Under this policy, Resonac considered all available options for the future of the Target Businesses. Resonac concluded that operating the Target Businesses under a best owner with a global business platform in adhesives and sealants would be the optimal path to achieve further growth and enhance their competitiveness, and therefore decided to proceed with the Transaction.

The Sika Group is one of the world’s leading companies in adhesives and sealants, with a global sales network, manufacturing footprint and research and development capabilities. The Target Businesses’ technologies and customer base are highly complementary to those of the Sika Group, and the combination of their respective strengths is expected to create significant added value. Resonac believes that, by operating as part of the Sika Group and leveraging its global network and management resources, the Target Businesses will be able to achieve further growth and enhance their competitiveness. The impact of the Transaction on Resonac’s consolidated financial results is expected to be immaterial.
